End User License Agreement (EULA)

01. Definitions & Parties

This Agreement is entered into by and between Ramaaya Technologies Pvt. Ltd. ("Licensor", "Company", "we", "us"), a technology corporation organized under the laws of India, and the entity or individual ("Licensee", "Customer", "you") downloading, activating, or running Sniper.AI Pro ("Software").

"Software" means the Sniper.AI Pro binary distribution packages (including SniperAI_Pro_Setup_v1.0.3.exe and SniperAI_Pro_v1.0.3.zip), accompanying executable code, local runtime components, graphical user interfaces, documentation, and cryptographic license verification utilities provided by Ramaaya Technologies.

02. License Grant & Workstation Seat Allocation

Subject to the terms of this Agreement and payment of the applicable commercial subscription fees, Licensor grants Licensee a revocable, non-exclusive, non-transferable (except as expressly provided herein), non-sublicensable license to install, execute, and operate the Software exclusively on designated 64-bit Windows physical workstations ("Workstation Seats").

• Single Seat Standard: Each commercial license code authorizes operation on one (1) physical Windows workstation concurrently.
• Hardware Binding: During initial cryptographic activation, the license code is paired with the host machine's hardware signature (UUID/CPU hash) to prevent unauthorized redistribution.
• Fleet Licensing: Enterprise multi-seat deployments are governed by custom commercial orders specifying the contracted workstation ceiling.

03. 3–Day Evaluation & Trial Terms

Ramaaya Technologies provides an immediate, three-day (72-hour) full-feature evaluation trial upon first installation of clean release packages on an unregistered workstation.

The trial requires no advance payment or credit card registration. During the evaluation period, all software features—including real-time radar ingestion, multi-tier deterministic filtering, local opportunity recording, and automated dispatch preparation—are fully operational.

Upon expiration of the 72-hour trial window, real-time lead capture halts until an active commercial license key is provisioned. All previously collected local opportunity records stored in your local storage ledger remain accessible and exportable.

04. Permitted Operational Scope & Local Architecture

Sniper.AI Pro is architected as local-first software. All lead processing, semantic keyword filtering, customer dossiers, and outreach queue records execute directly inside your local Windows OS environment.

Licensee acknowledges that:

• Operational lead databases, contact numbers, email addresses, and commercial proposals reside exclusively on your local workstation disk storage.
• Licensor does not host, mirror, or inspect Licensee's local lead database.
• The Software requires periodic outbound HTTPS communication strictly for cryptographic license validation, version verification, and software update telemetry.

05. License Restrictions & Prohibited Conduct

Licensee shall not, and shall not permit any employee, contractor, or third party to:

• Decompile, disassemble, reverse engineer, or attempt to derive the underlying source code of the Software or its cryptographic licensing mechanisms.
• Circumvent, bypass, tamper with, or forge hardware identification checks, license verification tokens, or trial expiration timers.
• Rent, lease, lend, sublicense, resell, or distribute the Software to any third party outside the licensed enterprise.
• Host the Software in an unauthorized multi-tenant software-as-a-service (SaaS) environment or public cloud desktop array to resell access.
• Use the Software for any purpose that violates applicable telecommunications, privacy, anti-spam (CAN-SPAM, IT Act 2000), or commercial regulations.

06. Third-Party Platforms & Compliance Responsibility

Sniper.AI Pro provides automation, filtering, and workflow acceleration tools designed to interact with browser sessions, local sinks, and web-based trade platforms.

Licensee expressly agrees and covenants that:

• Licensee is solely responsible for obtaining and maintaining lawful access to any third-party trade portals, directories, or lead sources queried through operator sessions.
• Licensee is solely responsible for compliance with the terms of service, acceptable use policies, inquiry rate limits, and communication rules of any third-party platform engaged.
• Ramaaya Technologies is not affiliated with, sponsored by, or endorsed by external B2B trade platforms, and disclaims liability for any account suspension, credential restriction, or API policy enforcement resulting from operator-configured inquiry velocities.

07. Hardware ID Transfer & Machine Upgrades

In the event of a workstation hardware replacement, operating system reinstall, or operator upgrade, active commercial subscribers may request a hardware ID reassignment.

Reassignment requests must be submitted through authorized customer support channels (hello@ramaaya.com) using the original registered enterprise email address. Reassignments are processed promptly, after which the previous workstation seat is deactivated.

08. Intellectual Property Rights

The Software, including its architecture, layout, algorithms, deterministic targeting simulators, brand marks, and documentation, is the exclusive intellectual property of Ramaaya Technologies Pvt. Ltd. and is protected by Indian copyright laws, international copyright treaties, and intellectual property conventions. This Agreement grants you a license to use the Software, not an assignment of ownership or title.

09. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAMAAYA TECHNOLOGIES DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

RAMAAYA TECHNOLOGIES DOES NOT GUARANTEE THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, NOR DOES IT GUARANTEE ANY SPECIFIC COMMERCIAL REVENUE, TRANSACTION CLOSING RATE, OR SALES CONVERSION RESULT FROM USE OF THE SOFTWARE.

10. Limitation of Liability

IN NO EVENT SHALL RAMAAYA TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS DATA) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY.

IN ALL CASES, THE TOTAL AGGREGATE LIABILITY OF LICENSOR UNDER THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY LICENSEE FOR THE SOFTWARE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

11. Term, Termination & Revocation

This Agreement remains in effect for the duration of Licensee's active subscription term or authorized trial period.

Licensor reserves the right to terminate or revoke this license immediately upon written notice if Licensee materially breaches any provision of this Agreement (including unauthorized redistribution, reverse engineering, or license key sharing). Upon termination, Licensee shall cease all execution of the Software and remove all binary copies from host workstations.

12. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts situated in Mumbai, Maharashtra, India.
